These Cash Rewards Terms govern Company’s participation in the Rewards Program and describe how Company may be eligible for, accrue, earn, redeem, suspend, and forfeit Rewards. By opening and maintaining a FunnelDash Account in good standing, Company is automatically enrolled in the Rewards Program.
These Cash Back Rewards Terms and Conditions (the “Cash Rewards Terms”) form a part of the FunnelDash General Terms of Service (the “General Terms.”
The Cash Rewards Program (the “Program”) is provided by FunnelDash, Inc. (“FunnelDash” or “us”) and is offered in FunnelDash’s sole discretion.
We may revise any of the Terms at any time by posting an updated version to our legal page. For example, we may:
Cash Rewards may not be combined with other discount or reward programs, unless specifically authorized by us.
To participate in the Rewards Program, your FunnelDash Account must be continuously in good standing, you must maintain a Linked Account, and all Users accruing or redeeming Cash Rewards on behalf of Company must be affiliated with Company.
If your FunnelDash Account is not in good standing for any reason, or we determine in our sole discretion that you are misusing the Rewards Program or have otherwise violated our Platform Agreement or any of the terms, agreements, and policies incorporated by reference, you may be ineligible to accrue Rewards or earn or use Rewards, and you may forfeit any Rewards previously earned or accrued.
Certain FunnelDash Accounts may not be eligible to participate in the Cash Rewards Program. We may update or change eligibility criteria, restrictions, and requirements at any time.
Available Rewards, Perks and discounts may vary based on the number or types of Services Company uses, Company’s industry and location, how long Company has been a Funnel Dash customer, and other factors determined in our sole discretion. We may otherwise condition, restrict or limit available Rewards, Perks, and discounts in our sole discretion.
When you are approved for the Cash Rewards program, you are eligible to earn a cash reward on qualifying purchases (“Cash Rewards”). Such Cash Rewards shall consist of the (i) the Upfront Cash Percentage multiplied by qualifying purchases, calculated at the time of purchase (the “Upfront Cash Rewards”), and (ii) the Accrued Cash Percentage multiplied by qualifying purchases, which shall accrue and be payable at the end of your Accrual Period (the “Accrued Cash Rewards”). Any Cash Rewards due shall be calculated on total net qualifying purchases made using your Card (less adjustments) and rounded to the nearest cent. The Upfront Cash Rewards will appear in your account as “Cash Back Rewards” within thirty days of the end of each monthly billing cycle.
The Accrued Cash Rewards shall be calculated Annually based on the dates that underlying qualifying purchases are made (the “Annual Accrued Cash Rewards”). By way of example, if your Accrual Period or "Exclusivity Period" is 3 years and you are otherwise in compliance with these Terms, then your Annual Accrued Cash Rewards for May 2021 would be redeemable in May 2023. If you break your Exclusivity condition prior to the end of your Exclusivity Period then you will lose all Accrued and Available Cash Rewards.
FunnelDash reserves the right to change the Upfront Cash Percentage and the Accruing Cash Percentage in its sole discretion in the event that there are any changes or interchanges with respect to any MCC code (as such term is defined below)underlying any qualifying purchase.
Only the use of your Card to purchase digital advertising is a qualifying purchase to earn Cash Rewards. The following purchases/transactions shall specifically not be considered qualifying purchases for purposes of earning Cash Rewards:
Merchants that accept Cards are assigned a Merchant Category Code (“MCC”) based on the kinds of products and services they sell. We do not determine which MCC a merchant chooses to classify itself, and we have no way of changing the identifying information we receive from a merchant when you make a purchase. As a result, some purchases may appear to us as non-qualifying purchases. When this occurs, you will not receive Cash Rewards for such transactions. Cash Rewards are normally accrued to your Cash Rewards balance promptly after your qualifying purchase transaction posts, but could take up to sixty (60) days.
We may establish Cash Reward tiers with separate criteria for participation, and with distinct benefits, such as access to certain restricted Cash Rewards or different calculation amounts (for example, with different Upfront Cash Reward Percentages, Accruing Cash Reward Percentages and/or Exclusivity Periods)(collectively “Reward Tiers”). While we may publicize certain requirements for participation in a certain Rewards Tier, we will ultimately make independent evaluations as to whether you qualify for any given Rewards Tier. We may use any information that you provide to us, or that we have access to, when determining qualification for a Rewards Tier and we are under no obligation to disclose the factors taken into consideration when making our determination. FunnelDash may rescind Cash Rewards at any time in it's sole discretion and without notice to you. Your eligibility for a Rewards Tier may be changed at any time in our sole discretion. Please contact us if you believe that you qualify for a specific Rewards Tier.
Restricted Rewards may only be available to a subset of FunnelDash customers or in limited quantities. For example, a Restricted Reward may provide certain Users satisfying specific requirements the option to Accrue Cash Rewards at a higher rate or redeem Accrued Cash Rewards early. Redemption of a Restricted Reward will depend on the conditions that must be satisfied prior to exhaustion or expiration. You are not guaranteed access to Rewards that are limited in number or conditioned on satisfying specific requirements, even if the exact number of redemption options or requirements are not communicated to you.
You must spend at least thirty percent (30%) of your daily limit during any month to qualify for Cash Rewards. You will not accrue any Cash Rewards on net purchases as described herein during any month in which you do not spend at least thirty percent (30%) of your credit line. In the event you have redeemed Cash Rewards early in given month, but by the end of that same month have not spent at least thirty percent (30%) of you credit line, FunnelDash will revoke all Cash Rewards earned in that month.
The specific Cash Rewards you may accrue may be different depending on different factors including the products and services you use, the rewards tiers offered, and your eligibility. Not with standing any other provision in the Terms, we may limit accrual and redemption of Cash Rewards, including through caps, fees, and expiration. Certain transactions may be excluded from accruing Cash Rewards, including cash withdrawals, transactions that are deemed fraudulent, disputed transactions or transactions subject to chargebacks, and certain other non-Card payment transactions. We may determine that a transaction type, or particular transaction, is excluded from eligibility for Cash Rewards accrual at any time. You may not accrue Cash Rewards if any payment is delinquent or for which all or a portion of the balance remains outstanding for any reason. Points accrued during any period may only be awarded upon payment in full of amounts owed to FunnelDash.
Returns, reversals, cancellations or disputes involving a qualifying purchase, or a purchase that is authorized but does not post to your account, will result in your Cash Rewards being reversed, debited or cancelled (in whole or part) to reflect that portion of the qualifying purchase which has been returned, reversed, cancelled or disputed. Such returns, reversals, cancellations or disputes may reduce or eliminate your Cash Rewards already earned. It may also cause a negative Cash Rewards balance and in some instances, in our sole discretion, a negative Cash Rewards balance amount may be debited from your account if that amount has already been redeemed by you and posted to your account balance.
We display Company’s Cash rewards, redemption options, and other available perks in your FunnelDash Account. Redemption options are subject to change and are subject to terms, conditions and availability of offers by external companies. We may limit use or redemption of Rewards to specific authorized Users or Accounts. In our discretion, we may require you to maintain a minimum Cash Rewards balance to fulfill part of any applicable reserve requirement; provided, however, that during that some or all of your Cash Rewards are being used as a reserve, such portion of your Cash Rewards shall not be available for redemption.
For your first 18 months as a customer of FunnelDash, beginning on the date of your first Net Purchase, all Cash Rewards accrued by you will be aggregated on an annual basis, not subject to conversion or redemption by you until eighteen months after the date of your first Net Purchase.
Your Accrued Cash Rewards will be eligible for redemption at the end of the applicable Accrual Period and can be transferred from your Accrued Cash Rewards balance into your primary account balance immediately after the end of the applicable Accrual Period assuming that you have a positive balance at that time. In order to redeem your Accrued Cash Rewards, your account (i) must be eligible to redeem your Accrued Cash Rewards (as described below); (ii) cannot be closed or blocked or in a status that does not permit you to transact with your Card; and/or (iii) must not have a zero or negative balance, all at the time of redemption. Once you have redeemed your Accrued Cash Rewards, it will be applied as a credit to your primary account balance. You must redeem all of your Accrued Cash Rewards that are eligible for redemption.
Cash Rewards that are eligible for redemption will expire after three months if not redeemed. If you or we close your account for any reason, any non-redeemed Cash Rewards will be forfeited.
You may redeem some or all of your Accrued Cash Rewards earlier than the end of the applicable Accrual Period (the “Early Redemption Cash Rewards”) in the form of ACH, statement credit or virtual card. In the case of statement credit or virtual cards, your Accruing Cash Percentage for such Early Redemption Cash Rewards may vary.
All Accrued Cash Rewards will be forfeited and will not be available for conversion or redemption if you (1) are no longer a customer of FunnelDash at the end of the Initial Period or (2) have spent less than Fifty Thousands Dollars ($50,000) in each of the last three months of your first eighteen months as a Cardholder or (3) no longer an
We reserve the right to suspend or prohibit your ability to earn, use or redeem the Cash Rewards balance in the event (i) you violate any of agreement you have with us (including, without limitation, the Cash Rewards Terms or General Terms); (ii) you act in a manner inconsistent with applicable laws; (iii) you engage in any misuse, misconduct or wrongdoing in connection with your account, Card or the Cash Rewards feature(s); (iv) you structure purchases or conduct transactions with your Card to manufacture spend; (v) you engage in any fraudulent or inappropriate use of your account that is outside the typical usage FunnelDash’s accounts, (vi) you are subject to bankruptcy, receivership, reorganization, liquidation, dissolution, insolvency or any similar proceedings, (vii) we believe that you may be unwilling or unable to pay your debts as they fall due, (viii) you fail to make a payment owed by you to us on or before its due date, (ix) you fail to use the Card or your account for a period of thirty (30) days, (x) you fail to spend the Minimum Annual Spend for your Card, and/or (xi) your account is suspended or closed by you or us (items (i) through (xii) collectively, the “Prohibited Actions”). In the event of any Prohibited Actions, your Cash Back may be forfeited, and we may freeze your ability to earn or redeem Cash Rewards. We may refuse any request to use Cash Rewards, or terminate your participation in the Program if your account is not in good standing, if any payments are past due, if your account has been terminated, or if you have otherwise breached any of your obligations under the Terms.
You shall lose all Accrued Cash Rewards when your account is terminated, either by you or us. In the event that your account is delinquent, you shall do not Accrue any Cash Rewards on all spend during your delinquency status.
If you have zero (0) purchases in any given month, you forfeit all accrued Cash Rewards
In the event that you engage in any of the Prohibited Actions, you shall lose all Cash Rewards and you also authorize us to use any Cash Rewards (including Accrued Cash Rewards)in order to pay any outstanding balance or debt that you owe to us (whether in connection with the Program or otherwise).
Any Cash Rewards earned and/or accrued in violation of the Terms may be revoked by us in our sole discretion. Your ability to earn, use or redeem Cash Rewards will be terminated if either you or we place your account in a status that does not permit you to use your Card.
Cash Rewards have no cash value until such time as you may request and receive redemption (check or statement credit or direct deposit) for your eligible Cash Rewards. You may not assign, transfer, or pledge your Cash Rewards. You have no property rights or other legal interest in Cash Rewards.
FunnelDash may assign, pledge, or otherwise transfer the administration of these Rewards Terms without providing Notice to you.
You release FunnelDash from all liability for your use of Cash Rewards, Perks, and for your participation in the Rewards Program. Separately, you release FunnelDash from liability for third party claims in accordance with these Rewards Terms.
You are responsible for determining any tax liability arising from participation in the Program. Consult your tax advisor concerning tax consequences. Your company may be issued an Internal Revenue Service Form 1099 (or other appropriate form) that reflects the value of such Cash Rewards.
FunnelDash may suspend or terminate the Rewards Program or any Tiers at any time and in its sole discretion. In the event that the Platform Agreement is terminated, these Rewards Terms will immediately terminate.
